Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between R2Data2 LLC, an Iowa limited liability company ("Company," "we," "us," or "our"), and you or the entity you represent ("Customer," "you," or "your") governing your access to and use of the R2Data2 agricultural risk data platform, APIs, and related services (collectively, the "Services") available at r2data2.com.

BY ACCESSING OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR USE THE SERVICES.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Services

R2Data2 provides an agricultural risk data platform and API that fuses multiple agricultural, climate, and environmental data sources to deliver risk intelligence to lenders, insurers, analysts, and other authorized users. The Services include:

  • API access to agricultural risk signals including the Crop Stress Index, drought observations and metrics, precipitation and weather data, soil moisture, vegetation index (NDVI/EVI), growing degree days, crop yields and progress, flood zone data, and related datasets;
  • Data derived from or processed from publicly available and licensed sources including, without limitation, PRISM climate data (Oregon State University), U.S. Drought Monitor (USDA / University of Nebraska–Lincoln), NASA SMAP soil moisture data, NASA MODIS vegetation index data (via AppEEARS), USDA NASS Quick Stats (crop yields, harvested area, and crop progress stages), USDA Risk Management Agency (RMA) Cause of Loss data, FEMA National Flood Hazard Layer (NFHL), FEMA National Risk Index (NRI), U.S. Census Bureau TIGER county boundaries, and other agricultural and climate datasets;
  • Developer documentation, dashboards, and support resources.

The Company reserves the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice to active subscribers.

3. API Access and Accounts

3.1 Account Registration

To access the Services, you must register for an account using a valid email address. You are responsible for maintaining the confidentiality of your API keys and account credentials and for all activity that occurs under your account. You agree to notify us immediately at [email protected] if you suspect unauthorized use of your account.

3.2 API Keys

We will issue API keys to authenticate your access to the Services. API keys are non-transferable and may not be shared with third parties. You may not embed API keys in publicly accessible code repositories or client-side applications without appropriate security measures.

3.3 Usage Tiers and Rate Limits

Your access to the Services is subject to the usage limits applicable to your subscription tier. Current tier limits are described on our pricing page, which is incorporated into these Terms by reference. We reserve the right to modify tier limits or pricing with thirty (30) days' notice to active subscribers; continued use after the effective date of any change constitutes acceptance. We reserve the right to throttle or suspend access if you exceed applicable limits.

Free Tier. Free tier accounts are provided at the Company's sole discretion and may be suspended or terminated at any time without notice or liability. The Company makes no commitment to maintain the free tier indefinitely.

4. Data Licensing and Restrictions

4.1 License Grant

Subject to these Terms and payment of applicable fees, the Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the data outputs and API responses ("Output Data") solely for your internal business purposes.

4.2 Restrictions

You may NOT, without express prior written consent from the Company:

  • Resell, sublicense, redistribute, or make Output Data available to third parties as a standalone data product or feed;
  • Use Output Data to build or train a competing agricultural data service or API;
  • Reverse engineer, decompile, or attempt to extract underlying source data or algorithms;
  • Remove or alter any proprietary notices, attributions, or metadata associated with Output Data;
  • Use Output Data in any way that violates the terms of underlying data source licenses, including PRISM data from Oregon State University or NASA data products.

4.3 Third-Party Data Sources

Certain data incorporated into the Services is derived from third-party sources subject to their own terms and conditions. The Company makes no representation that your use of Output Data will satisfy the terms of any underlying data source license. You are responsible for independently verifying any licensing obligations that may apply to your specific use case.

PRISM Climate Data Notice: PRISM climate data (Oregon State University) is freely available for reproduction and distribution. The Company attributes PRISM data as required: PRISM Group, Oregon State University, prism.oregonstate.edu.

NASA Data Notice: NASA Earth science data (including SMAP and MODIS products) is published under Creative Commons Zero (CC0) and is not subject to U.S. copyright. Commercial use and redistribution are permitted.

5. Fees and Payment

Access to paid tiers of the Services requires payment of applicable subscription fees as set forth on our pricing page. Fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly set forth herein or required by applicable law. We reserve the right to modify pricing with thirty (30) days' notice. Continued use of the Services after a price change constitutes acceptance of the new pricing.

If payment fails, we may suspend your access to the Services until payment is received. You are responsible for all taxes associated with your use of the Services, excluding taxes on the Company's income. The Company does not guarantee any specific level of uptime, availability, or data freshness. No service level agreement (SLA) applies unless separately agreed in a written agreement signed by both parties.

6. Acceptable Use

You agree to use the Services only for lawful purposes and in compliance with these Terms. You may not:

  • Use the Services in any manner that violates applicable federal, state, or local law or regulation;
  • Use the Services to make credit, insurance, or employment decisions in violation of applicable consumer protection or anti-discrimination laws, including the Equal Credit Opportunity Act or Fair Housing Act. Output Data must not serve as the sole basis for any such decision — independent professional review and compliance processes are required;
  • Attempt to gain unauthorized access to any part of the Services or related systems;
  • Transmit harmful, malicious, or disruptive code to the Services;
  • Use automated means to scrape or bulk-extract data beyond your authorized API access;
  • Misrepresent the source, accuracy, or reliability of Output Data to third parties.

7. Disclaimers and Data Accuracy

THE SERVICES AND OUTPUT DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

OUTPUT DATA IS DERIVED FROM MULTIPLE THIRD-PARTY SOURCES AND IS PROVIDED FOR INFORMATIONAL AND ANALYTICAL PURPOSES ONLY. THE COMPANY DOES NOT WARRANT THE ACCURACY, COMPLETENESS, TIMELINESS, OR FITNESS FOR ANY PARTICULAR PURPOSE OF ANY OUTPUT DATA. YOU AGREE THAT OUTPUT DATA SHALL NOT BE USED AS THE SOLE BASIS FOR ANY LENDING, UNDERWRITING, INSURANCE, INVESTMENT, OR REGULATORY DECISION, AND THAT INDEPENDENT PROFESSIONAL REVIEW IS REQUIRED FOR ANY SUCH USE.

The Company is not a financial advisor, insurance advisor, or regulatory compliance service. Use of the Services does not substitute for independent professional judgment.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL R2DATA2 LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE COMPANY'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO THE COMPANY IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

9. Indemnification

You agree to indemnify, defend, and hold harmless R2Data2 LLC, its members, officers, agents, and successors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services in violation of these Terms; (b) your violation of any applicable law or regulation; (c) your violation of any third-party rights; or (d) any claim that your use of Output Data caused harm to a third party.

10. Term and Termination

These Terms are effective upon your acceptance and remain in effect until terminated. You may terminate your account at any time by contacting us at [email protected]. We may suspend or terminate your access to the Services at any time for cause, including material breach of these Terms, with notice where practicable.

Upon termination, your right to access the Services ceases immediately. Provisions that by their nature should survive termination shall survive, including Sections 4, 7, 8, 9, 11, and 12.

11. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Iowa, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with proceedings conducted in Polk County, Iowa. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION RELATING TO THE SERVICES, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

12. General Provisions

12.1 Entire Agreement. These Terms, together with any applicable subscription order or pricing page, constitute the entire agreement between you and the Company regarding the Services and supersede all prior agreements.

12.2 Amendments. We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on r2data2.com. Your continued use of the Services after the effective date of any update constitutes acceptance.

12.3 Severability. If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12.4 Waiver. Failure to enforce any provision of these Terms shall not constitute a waiver of that provision.

12.5 Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

12.7 Force Majeure. Neither party shall be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, government action, changes in law or regulation, interruption or degradation of third-party data sources (including NASA, USDA, PRISM Climate Group, FEMA, or any upstream data provider), internet or telecommunications failures, or cyberattacks.

12.8 Data Retention. Information about how we retain and delete your data is described in our Privacy Policy, which is incorporated into these Terms by reference.
